01 Definitions

The following terms have the meanings given below when used throughout this Agreement:

• "Agreement" means these Terms and Conditions, together with any written engagement letter or booking confirmation.
• "Service" means any advisory format offered by Sparxia, including the Founder Mentoring Series, the Pitch & Narrative Workshop, and the Single-Session Founder Conversation.
• "We", "Us", "Our" means Sparxia, operating from 56 Phra Ram 9 Road, Khwaeng Huai Khwang, Bangkok 10310, Thailand.
• "User", "You", "Founder" means any individual or founding team who books, engages with, or makes use of a Service.
• "Content" means any materials, documents, notes, or written outputs produced in connection with a Service.
• "Session" means a scheduled advisory conversation, whether conducted in person in Bangkok or by video call.

02 Acceptance of Terms

By booking a Service, submitting a contact form, or confirming an engagement in writing, you agree to be bound by this Agreement. If you are engaging on behalf of a founding team, you confirm that you have the authority to bind that team.

You must be at least 18 years of age and legally capable of entering into a binding agreement under Thai law. Services are not available to persons under the age of 18.

If you do not agree to these terms, please do not proceed with a booking or engagement.

03 Service Description

Sparxia provides advisory conversations and structured engagements for early-stage founders. Our three current formats are:

• Founder Mentoring Series — a six-month engagement comprising fortnightly ninety-minute sessions, document commentary, and a closing written reading.
• Pitch & Narrative Workshop — a two-day working session for founding teams producing a narrative document set and a record of language choices.
• Single-Session Founder Conversation — a single ninety-minute advisory conversation producing a written summary and advisor reading.

Services are primarily delivered in Bangkok, Thailand. Video call delivery is available for the Single-Session format. Geographic availability for other formats may be discussed on a case-by-case basis.

04 User Responsibilities

You agree to engage with our Services in good faith and in accordance with the following:

• Attend scheduled Sessions at the agreed time, or provide reasonable notice of at least 48 hours if you need to reschedule.
• Provide accurate information about your company and circumstances when requested.
• Treat all advisors and staff with respect. Sparxia reserves the right to end an engagement if conduct becomes disrespectful or harmful.
• Not record, transcribe, or distribute Session content without prior written consent from Sparxia.
• Not use the Services for any unlawful purpose or in a way that could cause harm to third parties.
• Keep engagement-specific information shared by Sparxia advisors confidential.

Missed Sessions without 48 hours' notice may be counted as completed for billing purposes at our discretion.

05 Intellectual Property

All materials, methodologies, frameworks, templates, and written outputs produced by Sparxia in connection with a Service remain the intellectual property of Sparxia unless otherwise agreed in writing.

You are granted a limited, non-exclusive, non-transferable licence to use written outputs produced specifically for your engagement for your own internal business purposes. You may not reproduce, distribute, or commercialise those outputs without our written consent.

Any documents, pitch materials, or business information you share with us remain your property. You grant us a limited right to review and reference those materials solely for the purpose of delivering the agreed Service.

06 Payment Terms

Fees for each Service format are as follows, denominated in Thai Baht (THB):

• Founder Mentoring Series: ฿28,500 for the full six-month engagement
• Pitch & Narrative Workshop: ฿11,200 per workshop
• Single-Session Founder Conversation: ฿3,650 per session

Payment is due in full prior to the commencement of any Service unless a written instalment arrangement has been agreed. We accept bank transfer to our designated Thai bank account. Details are provided upon booking confirmation.

Refunds: Cancellations made more than seven calendar days before a scheduled Session or Workshop start date are eligible for a full refund. Cancellations within seven days are not eligible for a refund, though we may, at our discretion, offer a rescheduled date. The Founder Mentoring Series is non-refundable after the second session has been completed.

Prices are inclusive of applicable Thai VAT where required by law. Sparxia reserves the right to update fees with thirty days' written notice for new engagements.

07 Service Delivery Terms

We will make reasonable efforts to deliver each Service in accordance with the format described and the schedule agreed at booking. The following applies:

• Sessions will be scheduled by mutual agreement within the engagement period.
• Written outputs (session summaries, closing readings, narrative documents) will be delivered within three working days of the relevant Session or Workshop unless otherwise agreed.
• If an advisor becomes unavailable due to circumstances beyond our control, we will offer a qualified substitute or, if no substitute is available, a rescheduled date or proportional refund.
• The scope of each Service is as described at booking. Requests for substantial additional work outside the agreed scope may be subject to a separate fee.

Sparxia does not guarantee specific business outcomes from the advisory conversations. The quality of outcomes depends in part on the founder's own engagement, decisions, and the circumstances of their company.

08 Disclaimers

Services are provided on an "as available" basis. While we take care to provide considered and relevant advisory input, we make no warranty that the advisory content will be free from error, complete, or suitable for every founder's specific circumstances.

Advisory conversations are educational and reflective in nature. Nothing communicated in a Session, written summary, or any other output from Sparxia should be construed as investment advice, financial guidance, legal advice, accounting advice, or any other regulated professional service. Founders are responsible for their own decisions and should seek qualified professional advice where such advice is required.

Sparxia does not warrant that its Services will be uninterrupted or that any specific commercial result will follow from an engagement.

09 Limitation of Liability

To the fullest extent permitted by Thai law, Sparxia's total liability to you in connection with any Service shall not exceed the amount you paid for the specific Service giving rise to the claim.

Sparxia shall not be liable for any indirect, consequential, special, or incidental losses, including but not limited to lost profits, lost business opportunities, or losses arising from decisions made on the basis of advisory conversations.

Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable Thai law.

Force majeure: Sparxia is not liable for failure or delay in performing obligations where such failure results from circumstances beyond our reasonable control, including natural disasters, government actions, or public health emergencies.

10 Indemnification

You agree to indemnify, defend, and hold harmless Sparxia and its advisors from any claims, losses, damages, or expenses (including reasonable legal fees) arising from:

• Your breach of this Agreement
• Any misrepresentation you make in connection with an engagement
• Your use of advisory outputs in a manner not permitted under this Agreement
• Any claim brought by a third party arising from decisions you made based on advisory conversations

11 Termination

Either party may terminate an ongoing engagement by giving fourteen days' written notice. In the case of termination by Sparxia for reasons unrelated to your conduct, we will refund a proportional amount of any pre-paid fees for Sessions not yet delivered.

Sparxia may terminate an engagement immediately and without refund if you materially breach this Agreement, act in a disrespectful or harmful manner toward our advisors or staff, or use the Services for an unlawful purpose.

Clauses 5, 8, 9, 10, and 12 survive termination of this Agreement.

12 Dispute Resolution

This Agreement is governed by the laws of the Kingdom of Thailand. The parties agree to the exclusive jurisdiction of the courts of Bangkok, Thailand for any dispute that cannot be resolved informally.

Before commencing any formal proceedings, both parties agree to attempt to resolve any dispute through good-faith written communication. Either party may initiate this process by sending a written notice describing the dispute to [email protected]. The parties will have thirty days from the date of that notice to attempt informal resolution.

If informal resolution is unsuccessful, either party may refer the matter to mediation administered by the Thai Arbitration Institute before initiating court proceedings, though this step is not mandatory.

13 General Provisions

• Entire Agreement. This Agreement constitutes the entire agreement between the parties regarding its subject matter and supersedes all prior discussions or representations.
• Severability. If any provision of this Agreement is found to be unenforceable, the remaining provisions remain in full force.
• Waiver. Failure by Sparxia to enforce any provision does not constitute a waiver of that provision or any other.
• Assignment. You may not assign your rights or obligations under this Agreement without our prior written consent. Sparxia may assign its rights in connection with a business restructure or transfer.
• Notices. Formal notices should be sent to [email protected] and will be considered received on the next working day after sending.

14 Changes to Terms

We may update these Terms from time to time. When we do, we will revise the "Last Updated" date at the top of this page. For material changes, we will provide at least thirty days' notice to founders with active engagements via the email address provided at booking.

Your continued use of our Services after changes become effective constitutes acceptance of the updated Terms. If you do not agree to a material change, you may terminate your engagement in accordance with Section 11.
